Incident Information System End User Terms and Conditions NOTICE TO USER: PLEASE READ THIS CONTRACT CAREFULLY. BY CLICKING THE "I AGREE" BUTTON BELOW, AND BY USING ALL OR ANY PORTION OF THE INCIDENT INFORMATION SYSTEM ("IIS") YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING, IN PARTICULAR THE LIMITATIONS ON THE SCOPE OF USE OF THE INFORMATION CONTAINED THEREIN. YOU FURTHER ACCEPT AND ACKNOWLEDGE THAT THIS AGREEMENT IS ENFORCEABLE AT LAW UNDER THE LAWS OF THE STATE OF FLORIDA. THIS AGREEMENT IS ENFORCEABLE AGAINST YOU AND ANY LEGAL ENTITY AND ON WHO'S BEHALF YOU HAVE ACCESSED, USED OR HAVE INTENT TO USE THEREFORE. 1. License. First Advantage hereby grants to you, for the term of this Agreement, a nonexclusive, non transferable, royalty free license to use the Incident Information System subject to any policies promulgated by First Advantage regarding the use of the IIS. TAPA members and their employers shall have no implied licenses nor shall an implied license be deemed to be granted. First Advantage hereby reserves any and all rights not expressly granted herein. 2. General Use. 2.1 TAPA North American members in good standing will be given the authority to access to the Incident Information System to enter cargo theft incidents, search the entire database, and create reports as desired. TAPA members and their employers shall not exercise any ownership, or other rights of use of the Information Services? data, including without limitation, the sale or resale, use, licensing, assembling, or evaluation of the Information Services? data. 2.2 Subject to the terms of this Agreement, Users may not give access to the IIS to individual that are not members of TAPA North America. 3. Miscellaneous 3.1 First Advantage may terminate this Agreement (by providing written notice) if it determines any violation of this Agreement. 3.2 In its performance of this Agreement, each party shall comply with all applicable laws, regulations, orders and other requirements, now or hereafter in effect, of governmental authorities having jurisdiction. Except as expressly provided herein, the non-prevailing party shall be responsible for all costs and expenses incurred by it in connection with the negotiation, execution and performance of this Agreement. 3.3 You may not assign this Agreement, in whole or in part, without the First Advantage's prior written consent. Subject to the foregoing, this Agreement shall be binding on and enforceable by the parties and their respective successors and permitted assigns.
